PT PMA Setup & Incorporation in Bali
A PT PMA is the vehicle Indonesian law provides for foreign ownership of a business. This service takes a company from KBLI selection through the notarial deed and Kemenkumham approval to a live NIB, with the ownership split and capital set up so they survive later scrutiny. Common questions
Can I own 100% of my company in Bali?
It depends on the KBLI classification your activity actually falls under. Perpres 10/2021 jo. 49/2021 sets which lines of business are open to foreign capital and at what percentage: some are fully open, some are capped, some are closed. The classification is settled before anything is filed, because changing it afterwards means amending the deed and re-doing the licensing.
How much capital do I really have to put in?
Permeninves/BKPM 5/2025 Pasal 26(10) sets a minimum paid-up capital of IDR 2.5 billion. It is money that is actually deposited into the company's account, not a figure written into a deed. The bank and capital step is usually the slowest part of the timeline, and it sits with you and your bank rather than with the firm.
An agency quoted me less. What am I paying a lawyer for?
For a straightforward setup the filing work looks the same, and often is. The difference arrives later: if the structure is questioned, a licence is at risk, or a shareholder falls out, an agency cannot represent you before an Indonesian court and a licensed advocate can. Fee is fixed in the engagement letter after intake.
